These Terms of Service (“Terms”) govern access to and use of the websites, products, services, demonstrations, software-enabled services, and related services provided by BuiltAuthority LLC, a Wyoming limited liability company (“BuiltAuthority LLC,” “BuiltAuthority,” “we,” “us,” or “our”), operating under the public-facing brand BuiltAuthority™.

By accessing this website, submitting information through our forms, booking a consultation, purchasing or subscribing to a service, or otherwise using our Services, you acknowledge that you have read, understood, and agreed to these Terms.

1. ABOUT BUILTAUTHORITY™

BuiltAuthority™ is a brand operated by BuiltAuthority LLC.

BuiltAuthority LLC provides business technology, automation, artificial intelligence, customer communication, lead follow-up, database reactivation, reputation, referral, appointment-setting, CRM, and related implementation services.

Our Services may include, depending on the package or engagement:

AI-powered chat and voice agents;

AI employee systems;

Lead follow-up and database reactivation;

Review and reputation systems;

Referral systems;

CRM and workflow automation;

Appointment booking and lead qualification;

Website and communication integrations;

Software configuration and implementation;

Training, support, and related services.

The specific Services provided to a client, together with applicable pricing, deliverables, timelines, subscriptions, and other commercial terms, may be described in a proposal, order form, checkout page, invoice, statement of work, subscription agreement, or other written agreement issued by BuiltAuthority LLC.

Where a separate written agreement applies, that agreement may contain additional or different terms governing the applicable client engagement.

2. ELIGIBILITY AND AUTHORITY

You must have legal capacity to enter into a binding agreement in order to purchase or use our Services.

If you access or use our Services on behalf of a company, partnership, organization, or other legal entity, you represent and warrant that you have authority to bind that entity.

In such circumstances, references to “you” include both you and the entity you represent.

3. WEBSITE AND DEMONSTRATIONS

The BuiltAuthority™ website may contain demonstrations of artificial intelligence, automation, voice technology, chat functionality, booking systems, workflows, and other technology.

Demonstrations are provided for informational and evaluation purposes. Demonstration environments may differ from production environments and may not reflect the exact configuration, integrations, information, or capabilities ultimately provided to a client.

You agree not to:

interfere with the operation or security of our website or Services;

attempt unauthorized access to our systems;

reverse engineer or reproduce proprietary systems except where expressly permitted by law;

introduce malicious code or harmful material; or

use our Services for unlawful, fraudulent, abusive, or deceptive purposes.

4. CLIENT SERVICES

BuiltAuthority LLC may provide Services directly or through third-party technology platforms and integrations.

The exact scope of a client's Services is determined by the applicable commercial agreement, purchase, subscription, proposal, or statement of work.

BuiltAuthority LLC may modify, enhance, replace, or discontinue features of its Services where reasonably necessary for operational, technical, security, legal, or business reasons.

5. ARTIFICIAL INTELLIGENCE

Certain BuiltAuthority™ Services use artificial intelligence or automated systems.

AI-generated or AI-assisted outputs may be inaccurate, incomplete, outdated, or inappropriate in particular circumstances. AI systems should not be considered infallible and may require human review or intervention.

Clients are responsible for reviewing and approving relevant business information, knowledge-base content, FAQs, workflows, booking rules, escalation procedures, messaging, and other configurations used in their businesses.

BuiltAuthority LLC does not guarantee that an AI system will respond correctly in every situation or that an AI system will convert every inquiry, caller, visitor, or lead into a customer.

6. CLIENT RESPONSIBILITIES

Clients are responsible for providing accurate, current, complete, and lawful information required for implementation and operation of the Services.

Clients are responsible for ensuring that:

Their business information, pricing, services, operating hours, policies, and booking information are accurate;

They have the necessary rights and permissions to provide data, content, credentials, websites, customer information, contact lists, and other materials to BuiltAuthority LLC;

Their use of email, SMS, telephone, social media, chat, advertising, and other communication systems complies with applicable laws, regulations, industry requirements, and platform rules;

They have obtained any required consent or authorization for communications sent through systems configured by BuiltAuthority LLC;

Automated communications and AI behavior are reviewed where appropriate;

Their employees and representatives properly monitor and handle communications that require human intervention; and

They do not use the Services for unlawful, fraudulent, misleading, abusive, or unauthorized activity.

7. COMMUNICATIONS AND MARKETING COMPLIANCE

BuiltAuthority LLC may configure systems capable of sending or receiving email, SMS, telephone calls, chat messages, social-media messages, and other electronic communications.

The client is responsible for the legality of communications sent on the client's behalf, including compliance with applicable requirements concerning consent, marketing communications, telemarketing, messaging, opt-outs, disclosures, and recordkeeping.

BuiltAuthority LLC does not authorize clients to use its Services for unlawful spam, fraudulent communications, harassment, deception, or unauthorized marketing.

8. THIRD-PARTY SERVICES

BuiltAuthority™ Services may depend upon third-party platforms, including CRM systems, hosting providers, communication providers, payment processors, artificial-intelligence providers, calendar systems, advertising platforms, analytics providers, social-media platforms, and other technology services.

Third-party services are subject to the applicable third party's terms, policies, availability, limitations, and technical requirements.

BuiltAuthority LLC does not control third-party platforms and is not responsible for outages, policy changes, restrictions, rate changes, discontinued features, security incidents, or failures originating solely from a third-party provider.

9. FEES AND PAYMENT

Fees for Services will be stated in the applicable proposal, checkout page, invoice, subscription, order form, or other commercial agreement.

Unless otherwise stated, payment is due according to the payment terms presented at the time of purchase or agreed in writing.

Subscription Services may automatically renew according to the applicable subscription terms until cancelled.

Failure to pay amounts due may result in suspension or termination of Services.

Any applicable taxes, government charges, processing fees, or other charges associated with a transaction will be handled as stated in the applicable commercial agreement or as required by law.

10. REFUNDS, CANCELLATION, AND TERMINATION OF SERVICES

Refund and cancellation terms may vary by Service and may be stated in the applicable proposal, checkout page, subscription agreement, order form, or other written agreement.

Unless otherwise agreed in writing, fees for Services that have already been performed, configured, provisioned, implemented, or delivered are non-refundable to the maximum extent permitted by applicable law.

Subscription cancellation will take effect according to the applicable subscription terms.

Nothing in these Terms is intended to exclude or limit any rights that cannot legally be excluded or limited.

11. INTELLECTUAL PROPERTY

All rights, title, and interest in and to the BuiltAuthority™ brand, website, graphics, written materials, processes, systems, templates, documentation, designs, software configurations, workflows, proprietary materials, and other materials developed or provided by BuiltAuthority LLC remain with BuiltAuthority LLC or the applicable third-party rights holder unless expressly transferred in writing.

Clients retain ownership of their own business information, trademarks, customer information, content, and other materials they provide to BuiltAuthority LLC, subject to the rights necessary for BuiltAuthority LLC and its service providers to provide the Services.

A client receives only the rights expressly granted under the applicable commercial agreement.

Nothing in these Terms transfers ownership of BuiltAuthority LLC's underlying systems, processes, templates, methodologies, technology configurations, or intellectual property to a client unless expressly agreed in writing.

12. CONFIDENTIALITY

Each party may receive confidential or proprietary information from the other.

Each party agrees to use reasonable care to protect confidential information and to use it only for legitimate purposes connected with the applicable business relationship.

Confidential information does not include information that:

is publicly available through no breach of these Terms;

was already lawfully known to the receiving party;

is independently developed without use of the confidential information; or

is lawfully obtained from a third party without a confidentiality obligation.

A party may disclose confidential information where required by applicable law, regulation, court order, or governmental authority.

13. DATA AND PRIVACY

BuiltAuthority LLC may collect and process personal information in connection with the website and Services.

Our handling of personal information is described in our Privacy Policy, which forms part of the overall framework governing use of our website and Services.

Where BuiltAuthority LLC processes personal data on behalf of a client, the client may act as the data controller and BuiltAuthority LLC may act as a data processor or otherwise handle data according to the nature of the applicable engagement and applicable law.

Clients are responsible for ensuring that they have the necessary rights, lawful basis, notices, consents, and permissions relating to personal data they provide to BuiltAuthority LLC.

BuiltAuthority LLC may use third-party technology providers to host, store, transmit, analyze, or process information as necessary to provide the Services.

14. NO GUARANTEE OF BUSINESS RESULTS

BuiltAuthority LLC provides technology, systems, implementation, automation, and related services.

Unless expressly stated otherwise in a written agreement, BuiltAuthority LLC does not guarantee a particular number of:

leads;

appointments;

calls;

reviews;

referrals;

sales;

customers;

revenue;

profit;

return on investment; or

other business outcomes.

Client results may depend on numerous factors outside BuiltAuthority LLC's control, including market conditions, pricing, sales performance, customer demand, data quality, advertising performance, client responsiveness, offer quality, customer experience, and third-party technology.

Any examples, case studies, demonstrations, projections, or descriptions of possible outcomes are illustrative only and are not a guarantee of future results.

15. DISCLAIMERS

To the maximum extent permitted by applicable law, the website and Services are provided on an “as is” and “as available” basis.

BuiltAuthority LLC does not warrant that:

the website or Services will always be available;

the Services will be uninterrupted;

the Services will always be error-free;

AI outputs will always be accurate;

third-party services will remain available or unchanged; or

the Services will be suitable for every particular business purpose.

Information provided through the website is for general informational purposes and does not constitute legal, tax, accounting, financial, medical, or other professional advice.

16. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, BuiltAuthority LLC and its members, managers, officers, employees, contractors, agents, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings arising from or relating to the website or Services.

To the maximum extent permitted by applicable law, the aggregate liability of BuiltAuthority LLC arising out of or relating to a particular client engagement will not exceed the amount actually paid to BuiltAuthority LLC by that client for the Services giving rise to the claim during the twelve-month period preceding the event giving rise to the claim.

Nothing in these Terms limits liability to the extent such limitation is prohibited by applicable law.

17. INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless BuiltAuthority LLC and its members, managers, officers, employees, contractors, agents, and service providers from claims, liabilities, damages, losses, costs, and expenses arising out of or relating to:

Your breach of these Terms;

Your unlawful or unauthorized use of the Services;

Your violation of applicable law or third-party rights;

Data, content, or information supplied by you;

Communications or marketing activities conducted on your behalf; or

Your misuse of the Services.

18. SUSPENSION AND TERMINATION

BuiltAuthority LLC may suspend or terminate access to all or part of the Services where reasonably necessary because of:

non-payment;

material breach of these Terms;

unlawful or fraudulent activity;

misuse of the Services;

security concerns;

abuse of personnel or systems; or

circumstances that make continued provision of the Services impractical or unlawful.

Termination will not eliminate payment obligations or other obligations that accrued before termination.

Provisions that by their nature should survive termination, including provisions concerning intellectual property, confidentiality, payment obligations, disclaimers, limitations of liability, indemnification, and dispute resolution, will survive termination.

19. GOVERNING LAW AND DISPUTES

These Terms and the relationship between you and BuiltAuthority LLC will be governed by applicable law, subject to any mandatory rights or protections that cannot lawfully be excluded.

Unless a separate written client agreement provides otherwise, disputes relating to these Terms or the Services shall be subject to the applicable laws and jurisdiction associated with BuiltAuthority LLC's contracting entity and place of organization.

Where a separate written agreement specifies governing law, jurisdiction, arbitration, mediation, or another dispute-resolution mechanism, that agreement will control for that particular engagement.

20. CHANGES TO THESE TERMS

BuiltAuthority LLC may update these Terms from time to time.

The most current version will be posted on the BuiltAuthority™ website with an updated “Last Updated” date.

Your continued use of the website or Services following the effective date of revised Terms constitutes acceptance of the revised Terms to the extent permitted by applicable law.

21. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be modified or interpreted to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

22. ENTIRE AGREEMENT

These Terms, together with any applicable Privacy Policy, proposal, order form, statement of work, subscription agreement, invoice, checkout terms, or other written agreement issued by BuiltAuthority LLC, constitute the agreement governing the applicable Services.

If a conflict exists between these Terms and a specific written agreement for a particular client engagement, the specific written agreement will control to the extent of the conflict.

23. NO AGENCY, PARTNERSHIP, OR EMPLOYMENT RELATIONSHIP

Use of the Services does not create any partnership, joint venture, employment, franchise, fiduciary, or agency relationship between the client and BuiltAuthority LLC unless expressly agreed in writing.

Nothing in these Terms authorizes either party to bind the other or represent that it has authority to do so.
